Standard terms of agreement between Access and hosts:
Term: The parties will agree to a 1-year term which is - thereafter - cancelable by either party with 30 days written notice. Access has a right to relocate any Kiosk or remove any Kiosk for improper operation and / or unacceptable volume. Access will provide notice and coordinate to any such action.
Revenue Share / Pricing: Host will receive a 15% top line royalty (revenues less taxes and transaction fees) from Kiosks. Reimbursement of COGS will be in addition to the 15% share. All other fees / other operating costs shall be paid by Host from the above-stated revenue share. Access shall retain remaining proceeds to pay CPK royalties, Kiosk maintenance, software, and operational support. Access and Host shall mutually agree to product pricing - which may be adjusted as stocking nears expiration. Host shall ensure that their preferred campus payment system may be used for Kiosk purchases.
Kiosk Delivery / Installation / Training: Access will deliver and assist with the install of Kiosks. Kiosks will be owned by Access. Host will operate Kiosks as an independent contractor. Access will train designated personnel on: safe loading, operation, and routine cleaning procedures. Host and Access will mutually agree to exact placement locations. Host will be required to provide adequate space for Kiosk operation, a 208–240 V electrical outlet and shall satisfy any required permitting / licensure / government / other authorizations.
Product Procurement / Restocking: Host will purchase and manage pizza inventory through authorized food-service distributor(s), such as US Foods or Sysco, using CPK-approved SKUs and packaging. Host will load and monitor Kiosk inventory to ensure that the Kiosk is adequately stocked and ready to vend. Access will reimburse Host for the cost of goods sold (“COGS” - pizza, boxes – product only input costs) based on Kiosk inventory sell through.
Maintenance / Support: Access will provide remote monitoring, troubleshooting, and preventive maintenance. X will perform regular cleaning and operational checks following Access training and protocols. Any necessary on site repairs shall be coordinated and paid for by Access.
Branding / Marketing / CPK Exclusive: Use of CPK marks must follow CPK brand guidelines – as approved by Access. All signage, promotional, or communications materials related to the Kiosk must be jointly approved by Host and Access. Kiosks must be operated and maintained in a high-quality manner, consistent with the CPK brand. Host agrees that during the term it shall not place any competing pizza vending kiosk or machine in proximity to operating Kiosks and shall work exclusively with Access to secure additional CPK Kiosks.
Insurance / Liability: Access shall maintain commercially reasonable insurance for its operations – but may request / require primary or overlapping insurance from Host.
Reporting: Access will provide Host with periodic performance summaries, including Kiosk uptime, sales activity, and product inventory metrics. This data will be used jointly to evaluate operational performance and financial viability. Host will maintain confidentiality of any data shared by Access.
